TERMS OF SERVICE

Terms for using NestClock.

Welcome to NestClock. These Terms of Service ("Terms") govern your access to and use of the NestClock website at nestclock.com, the web application at app.nestclock.com, and any related services (collectively, the "Service"), operated by NXProduct Inc., a California corporation ("we," "us," or "our").

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Not Financial Advice

NestClock is an educational planning tool, not a licensed financial adviser. Nothing on this Service constitutes financial, investment, tax, or legal advice.

The retirement scores, projections, Monte Carlo simulations, Social Security estimates, healthcare cost estimates, Roth conversion analyses, and all other outputs produced by NestClock are provided for informational and illustrative purposes only. They are based on the data you enter and mathematical models, and they do not account for all variables that may affect your financial situation.

You should not make financial decisions based solely on information from NestClock. Before making any financial, investment, or tax decisions, you should consult a qualified and licensed financial adviser, accountant, tax professional, or attorney.

NestClock makes no representation that any projection, score, or recommendation will be achieved. Past performance of any investment or financial strategy is not indicative of future results. Retirement projections are inherently uncertain.

2. Eligibility

You must be at least 18 years old and a citizen of the United States to use the Service. The Service is intended solely for US citizens and is not available to residents or citizens of other countries. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access the Service, you must create an account using a valid email address and password. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and not share it with any third party.
• Notify us immediately at contact@nxproduct.com if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are otherwise fraudulent or abusive.

4. Your Data

The financial information you enter into NestClock ("Your Data") remains yours. You grant us a limited license to store, process, and use Your Data solely to operate and improve the Service for you.

We do not sell Your Data to third parties. We do not use Your Data to make investment decisions on your behalf. Our data practices are described in our Privacy Policy at nestclock.com/privacy, which is incorporated into these Terms by reference.

You are responsible for the accuracy of the data you enter. Inaccurate or incomplete data will produce inaccurate projections. NestClock is not responsible for errors resulting from data you provide.

You may request deletion of your account and associated data at any time by contacting us at contact@nxproduct.com. We will delete your data within 30 days of a verified request, subject to our legal obligations to retain certain records.

Future Partner Services (Optional)

We may in the future offer you the opportunity to be connected with licensed financial planners or related financial services partners. Any such connection will be opt-in only: we will only share your contact information with third-party partners if you explicitly consent at that time through a clear, in-app prompt. We will notify you before any such program launches.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or systematically download content from the Service without our written permission.
• Use the Service to transmit any harmful, offensive, or malicious content.
• Misrepresent your identity or affiliation.
• Use the Service to provide financial advice to third parties as if it were your own licensed advice.

6. Fees and Free Tier

NestClock is currently offered free of charge. We reserve the right to introduce paid features, subscriptions, or tiers in the future. If we do, we will provide advance notice and obtain your consent before charging you.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

7. Intellectual Property

The Service, including its design, software, algorithms, text, graphics, and all other content created by NestClock, is owned by NestClock and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial retirement planning purposes.

The NestClock name, logo, and all related marks are trademarks of NestClock. You may not use them without our prior written permission.

8. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, NestClock disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Any projections, scores, or estimates will be accurate, complete, or suitable for any purpose.
• Defects will be corrected.
• The Service or the servers that make it available are free of viruses or other harmful components.

You use the Service at your own risk. You are solely responsible for any financial decisions you make based on outputs from the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NESTCLOCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

This includes, without limitation, damages arising from reliance on projections, scores, or estimates; lost profits; lost savings; lost data; business interruption; or any other intangible loss, even if NestClock has been advised of the possibility of such damages.

In no event shall NestClock's total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the total fees you paid to NestClock in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NestClock and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of any third party.

11. Third-Party Services and Links

The Service may reference or link to third-party tools, websites, or services (such as SSA.gov for Social Security estimates). These third-party resources are not under our control, and we are not responsible for their content, accuracy, or availability. References to third parties do not constitute endorsements.

Your use of any third-party service is subject to that service's own terms and privacy policy.

12. Termination

You may stop using the Service and delete your account at any time by contacting us at contact@nxproduct.com.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.

Sections 1, 4, 7, 8, 9, 10, and 14 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English in San Francisco, California. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in California to protect intellectual property rights.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page and, for material changes, notify you by email or in-app notice at least 14 days before the change takes effect.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

15. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NXProduct Inc. regarding the Service and supersede any prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign our rights and obligations under these Terms freely.
